By accessing or using our website (the “Site”) and the services provided by Actiochat (collectively, the “Service”), you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use the Service.
1. Description of Service
Actiochat is a software-as-a-service platform that enables users to create custom AI-powered chatbots trained on their own data. These chatbots can be embedded into websites and, in future iterations, will be capable of executing actions such as booking appointments, accessing APIs, and managing support tickets.
2. Eligibility
You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that you are of legal age and have the authority to enter into a binding agreement.
3. Account Registration
To use our Service, you must create an account. You agree to provide accurate and complete information and to keep your account credentials secure. You are responsible for all activities that occur under your account.
We reserve the right to suspend or terminate your account at our discretion if you violate these Terms or use the Service in a harmful or unlawful manner.
4. User Data & AI Model Training
You may upload documents, links, or other data ("User Content") to train your chatbot. You retain all ownership rights to your User Content.
By using the Service, you grant us a non-exclusive license to process and use your User Content solely to provide and improve the Service. We do not share or sell your data. You are responsible for ensuring that your User Content complies with all applicable laws, including those related to data privacy and intellectual property.
5. Payment and Billing
Some features of our Service may require payment. All payments are processed securely through Stripe. By subscribing to a paid plan, you agree to pay the applicable fees and authorize us (via Stripe) to charge your payment method on a recurring basis.
All prices are listed in USD, and we reserve the right to change our pricing with reasonable notice.
6. Refund Policy
After 7 days, all purchases are final. However, we may offer refunds at our sole discretion in cases of technical failure or service interruption.
7. Acceptable Use
You agree not to use the Service to:
- Violate any local, state, national, or international law or regulation.
- Infringe the intellectual property rights of others.
- Upload or transmit viruses, malware, or any malicious code.
- Attempt to gain unauthorized access to any part of the Service or related systems.
- Train chatbots using data you do not have rights to use.
We reserve the right to suspend or terminate your access if you misuse the Service.
8. Third-Party Services and Integrations
The Service may integrate with third-party platforms (e.g., Stripe, calendars, support tools). We are not responsible for any issues or data handling by third-party services. Your use of those services is governed by their own terms and privacy policies.
9. Intellectual Property
All content and technology provided through the Service, excluding your User Content, are the property of Actiochat and its licensors. You may not copy, modify, distribute, or reverse engineer any part of the Service.
10. Termination
We may terminate or suspend your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service will immediately cease, and you may lose access to your data and chatbots.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available.” We make no warranties regarding the accuracy, reliability, or availability of the Service. To the fullest extent permitted by law, we disclaim all warranties, express or implied.
12. Limitation of Liability
To the maximum extent permitted by law, Actiochat and its affiliates shall not be liable for any indirect, incidental, or consequential damages, including loss of data, revenue, or profits, arising out of your use or inability to use the Service.
13. Indemnification
You agree to indemnify and hold harmless Actiochat, its affiliates, and their employees from any claims, damages, liabilities, and expenses arising from your use of the Service or violation of these Terms.
14. Changes to Terms
We may update these Terms from time to time. Any changes will be effective upon posting. Continued use of the Service after changes means you accept the updated Terms.
